Terms of Use
1. Agreement to Terms
These Terms of Use ("Terms") are a legally binding agreement between you and Ozmi (operated by Invang Trade LLP), governing your access to and use of the Ozmi dental clinic management platform, including the website at ozmi.in, the application at app.ozmi.in, and all associated services and features (collectively, the "Platform").
By signing up, accepting an invitation to join a clinic workspace, or using any part of the Platform, you confirm that you have read, understood, and agreed to these Terms. If you are accepting on behalf of a clinic or organization, you represent that you have authority to bind that entity.
If you do not agree to these Terms, you must not access or use the Platform.
2. About Ozmi
Ozmi is a multi-tenant Software-as-a-Service (SaaS) platform for dental clinics operating in India. It provides tools for appointment management, patient records, billing, treatment plans, staff scheduling, and related operations.
3. Eligibility
To use Ozmi, you must:
- Be at least 18 years of age
- Have the legal capacity to enter into a binding agreement under Indian law
- Be an authorized representative of an operating dental clinic or healthcare practice, or a staff member officially invited by such a clinic
- Not be prohibited from using the Platform under any law
Ozmi is intended exclusively for professional dental clinic use and is not a general consumer product.
4. Accounts and Access
4.1 Account Registration
A clinic owner must register a clinic workspace as the Super Admin. All account information must be accurate and current. You are responsible for maintaining the accuracy of your information.
4.2 Account Roles
- Super Admin: The clinic owner. Full platform access. One per clinic. Cannot be modified by other roles.
- Admin: Full operational access excluding Super Admin management and Admin invitations.
- Dentist: Clinical access — patient records, treatment plans, appointments.
- Receptionist: Front-desk access — appointment booking, patient registration, billing.
The Super Admin is responsible for all activity within their clinic workspace, including actions by invited staff.
4.3 Account Security
You are responsible for maintaining the confidentiality of your login credentials. You must not share your password. You must notify us immediately at support@ozmi.in if you suspect unauthorized access. We are not liable for losses resulting from unauthorized use where you failed to maintain credential security.
4.4 Data Isolation
Each clinic workspace is a separate tenant. Data from one clinic is never accessible to users of another clinic. This isolation is enforced at the database level.
5. Subscription and Payment
5.1 Paid Subscription Required
Access to Ozmi requires an active paid subscription. Pricing is published at ozmi.in and may be updated with notice. All prices are in Indian Rupees (INR) and exclude applicable taxes unless stated otherwise.
5.2 Billing Cycle
Subscriptions are billed monthly or annually as selected at purchase. Subscriptions automatically renew unless cancelled before the renewal date.
5.3 Payment Authorization
By providing payment details, you authorize Ozmi to charge the applicable fees to your payment method on a recurring basis. You are responsible for keeping payment information current.
5.4 Failed Payments
If a payment fails, we will notify you. If not resolved within 7 days, we reserve the right to suspend access to your workspace until payment is received. Your data will be retained during suspension.
5.5 Price Changes
We may change subscription prices with at least 30 days' advance notice. Changes take effect from the next billing cycle after the notice period.
6. Acceptable Use
You must not:
- Use the Platform in violation of applicable law, including the DPDP Act 2023
- Enter false, fraudulent, or misleading information about patients, staff, or the clinic
- Attempt to access any other clinic's workspace or data
- Attempt to reverse engineer, decompile, or create derivative works from any part of the Platform
- Use automated bots or scrapers to extract data without written consent
- Upload malicious code, viruses, or software intended to damage or disrupt the Platform
- Resell, sublicense, or redistribute access to the Platform without written authorization
- Use the Platform in any way that could overload or impair our servers or infrastructure
- Violate any applicable local, national, or international law
We reserve the right to investigate suspected violations and suspend or terminate accounts that breach these obligations without prior notice and without liability to you.
7. Patient Data and Clinic Responsibility
As a clinic using Ozmi, you are the data controller for all patient data entered into the Platform. You are solely responsible for:
- Obtaining valid consent from patients before entering their data into Ozmi
- Ensuring all patient data is accurate and lawfully obtained
- Complying with all applicable laws relating to patient privacy, healthcare records, and data protection
- Ensuring only authorized staff access patient records
- Notifying patients of their data rights as required by law
Ozmi processes patient data solely as a data processor acting on clinic instructions. We are not responsible for the accuracy, legality, or appropriateness of patient data entered by clinic staff. Any liability arising from improper handling of patient data rests entirely with the clinic.
8. Intellectual Property
8.1 Our Property
The Ozmi platform, including its software, code, design, interface, features, trademarks, and all related intellectual property, is owned by or licensed to Ozmi. Nothing in these Terms transfers any ownership of Ozmi's intellectual property to you. Unauthorized use of our IP may result in termination of your account and legal action.
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for internal clinic management purposes during the term of your active subscription only.
8.2 Your Data
You retain ownership of all clinic and patient data you enter. By using Ozmi, you grant us a limited license to process and store this data solely to provide the Platform services.
8.3 Feedback
If you provide feedback or suggestions about the Platform, you grant us a perpetual, royalty-free, worldwide license to use this feedback for any purpose without any obligation to you.
9. Disclaimers
The Platform is provided "as is" and "as available" without warranties of any kind, express or implied. Ozmi does not warrant that the Platform will be uninterrupted, error-free, or free of harmful components. We expressly disclaim all warranties including but not limited to merchantability, fitness for a particular purpose, and non-infringement.
Ozmi is a clinic management tool. It does not constitute medical advice, clinical decision support, or a regulated healthcare system. All clinical decisions remain the sole responsibility of qualified dental professionals using the Platform.
10. Limitation of Liability
To the maximum extent permitted by applicable Indian law:
- We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Platform, including loss of data, loss of revenue, or clinical errors arising from reliance on Platform data.
- Our total aggregate liability to you for any claim will not exceed the total subscription fees paid by you in the 3 months immediately preceding the event giving rise to the claim.
- We are not liable for any actions, omissions, or data handling failures by third-party service providers including Supabase, Vercel, or payment gateways.
- We are not liable for any breach of patient data that arises from improper use of the Platform by the clinic or its staff.
11. Indemnification
You agree to indemnify, defend, and hold harmless Ozmi and its partners, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:
- Your violation of these Terms
- Your violation of any law or the rights of any third party, including patients
- Any misuse of patient data entered by your clinic or staff
- Any unauthorized access facilitated by your actions or credential mismanagement
12. Suspension and Termination
12.1 Termination by You
You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing cycle. See our Refund Policy for details on refunds. After 90 days from the cancellation date, all data is permanently deleted.
12.2 Termination by Us
We may suspend or terminate your account immediately and without prior notice if:
- You materially breach these Terms
- Your use poses a security risk to us or other users
- We are required to do so by law or court order
- Your subscription payment remains unpaid for more than 14 days
Termination for breach does not entitle you to any refund. Upon termination, your license to use the Platform ceases immediately.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of India. Any disputes arising from these Terms or your use of the Platform are subject to the exclusive jurisdiction of the courts of India.
Before initiating any legal proceeding, both parties agree to attempt good-faith resolution through direct negotiation for at least 30 days from the date the dispute is first raised in writing to support@ozmi.in.
14. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes via email at least 14 days before the new Terms take effect. Continued use after the effective date constitutes acceptance.
